Intellectual Property Upon full payment, clients own the final deliverables specifically created for their project, as defined in the applicable service agreement or scope of work. PRIME SCALE COMMERCE LLC retains ownership of its pre-existing tools, processes, methodologies, templates, systems, know-how, and other materials developed independently of the client project. PRIME SCALE COMMERCE LLC may use non-confidential project elements for portfolio, marketing, or demonstration purposes unless otherwise agreed in writing with the client. 4. Governing Law These Terms of Service are governed by the applicable laws of the State of New Mexico, USA, without regard to conflict-of-law principles.
